Terms & License Agreement

This agreement is between you (the "Licensee") and Nimbopanel (the "Licensor", "we", "us"), the provider of the Nimbopanel software. By creating an account, buying a plan, or installing or running the Nimbopanel software, you accept these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

1. The software & the license

Nimbopanel is a self-hosted hosting control panel. We sell you a license to run it — not hosting. Subject to payment and these terms, we grant you a non-exclusive, non-transferable license to install and run Nimbopanel on up to the number of servers stated in your plan, for the licensed term. You are responsible for the servers you install it on and for the data and accounts you host.

2. Activation & server binding (node-lock)

• Each license activates against a server identity (a machine fingerprint). A license may run on at most the number of servers your plan allows.
• Licensing is offline-tolerant by design: a temporary inability to reach the license server does not disable your existing hosting. After an extended offline period beyond the stated grace window, paid entitlements step down to the free limits, but hosting you already run keeps running.
• You may activate offline (air-gapped) using the tools we provide; offline activation is still bound to your server allowance.

3. Moving between servers

You may transfer a license between your own servers using the self-service "Release" option in your portal, which frees a slot for a new server. A released server drops to the free limits on its next check-in.

4. What you may not do

• Resell, sublicense, publish or redistribute the license key, the signed license tokens, or the Nimbopanel binaries themselves. (Operating hosting for your customers is allowed — and, on the reseller tier, is the point.)
• Circumvent, disable or tamper with license enforcement or the signed license tokens, or exceed your server/entitlement allowance.
• Use the software for unlawful activity.

5. Updates & integrity

Releases are cryptographically signed and verified at install. Running modified, unsigned, or tampered builds is a breach of this agreement and voids support. We may publish updates and security fixes; keeping current is your responsibility.

6. Reseller rights

White-label branding and reseller sub-accounts are available only on the reseller tier. On lower tiers those features are not licensed for use.

7. Term, renewal & termination

• Paid plans run for the stated period plus any grace window. Renewal extends the same license.
• We may revoke a license for breach of these terms, non-payment, chargeback, or fraud/abuse. On revocation the software reverts to the free limits on its next check-in.
• Your hosted sites and data remain yours — termination affects the paid entitlements of the panel, not the accounts you host. You remain responsible for your own backups and for migrating off if you choose to.

8. Payment & refunds

Paid plans are billed for the stated period; prices are shown at checkout. See our Refund Policy for cancellations and refunds.

9. Warranty & liability

The software is provided "as is" without warranty of any kind. To the maximum extent permitted by law, Nimbopanel is not liable for indirect, incidental or consequential damages arising from its use, and total liability is limited to the fees you paid in the twelve months before the claim. You remain responsible for your own backups and server security.

10. Governing law

This agreement is governed by the laws of the jurisdiction in which Nimbopanel operates.

11. Changes

We may update these terms; material changes are reflected by the "last updated" date above. Continued use after a change means you accept the updated terms.
